The first part (Terms of use) governs the use of the Site. The second part (Terms of sale) applies to services sold by FINADORY to its business clients.

Part 1 · Terms of use

These Terms of use set out the conditions for accessing and using the Site. Anyone browsing the Site (the “User”) agrees to comply with them.

1. Site operator

The Site is operated by FINADORY, Single-shareholder simplified joint-stock company (SASU) with share capital of €1,000, RCS Paris 912 552 627, whose registered office is at 110 rue Réaumur, 75002 Paris, France. Contact: hello@finadory.com.

2. Access to the Site

The Site is accessible free of charge to any User with internet access. Connection and equipment costs are borne by the User. FINADORY may suspend or modify all or part of the Site, in particular for maintenance, without incurring any liability.

3. Use of the Site

The User in particular refrains from:

  • any intrusion or attempted intrusion into FINADORY’s systems;
  • any action likely to slow down, interrupt or overload the Site;
  • any automated extraction or substantial reuse of its content;
  • any use of the Site contrary to applicable law or to the rights of third parties.

4. Intellectual property

The content of the Site is protected by intellectual property law. Any reproduction or exploitation without FINADORY’s written permission is prohibited (see the legal notice).

5. Liability

The information on the Site is provided for guidance only and does not constitute a contractual offer. FINADORY is not responsible for the content of third-party websites accessible via links, nor for transactions concluded with those third parties.

Part 2 · Terms of sale

These Terms of sale apply to the services and subscriptions sold by FINADORY (the “Services”) to clients acting for professional purposes (the “Client”). They form the basis of commercial negotiation in accordance with Article L.441-1 of the French Commercial Code and prevail over the Client’s purchasing conditions, unless otherwise agreed in writing.

6. Quotes and orders

Each Service is the subject of a quote or commercial proposal specifying its scope, price and timeline. The order becomes firm upon receipt of the signed quote or the Client’s written acceptance and, where applicable, of the agreed down payment. The specific terms of the quote prevail over these Terms of sale.

7. Prices and invoicing

Prices are expressed in euros excluding taxes, with VAT invoiced at the applicable rate. They are those of the accepted quote. For subscriptions, FINADORY may revise its prices by informing the Client in writing at least 30 days before they apply; a Client who refuses them may terminate under the conditions of Article 9.

8. Payment and late payment

Unless otherwise stated in the quote, invoices are payable within 30 days of their issue date, by bank transfer or by direct debit via the designated payment provider. FINADORY does not store any bank details.

In accordance with Article L.441-10 of the French Commercial Code, any late payment automatically gives rise, without prior formal notice, to late payment penalties at a rate equal to three times the legal interest rate, as well as a fixed indemnity of €40 for recovery costs. FINADORY may also suspend the Services until full payment.

9. Subscription term and termination

Unless otherwise stated in the quote, subscriptions are concluded for a term of 12 months, automatically renewable for successive 12-month periods. Either party may object to renewal by email or by registered letter with acknowledgement of receipt, no later than 30 days before the anniversary date.

In the event of a serious breach by a party of its obligations, not remedied within 30 days of formal notice, the other party may terminate the contract automatically.

10. Obligations of the parties

FINADORY performs the Services diligently and in accordance with professional standards, under an obligation of means. The Client provides in good time the information, access and approvals needed, and warrants that it holds the rights to the content it provides.

11. Intellectual property

Rights in deliverables created specifically for the Client are assigned to it under the conditions set out in the quote, upon full payment of the price. FINADORY retains ownership of its tools, methods, software, models and know-how, whether pre-existing or developed independently, which the Client may use only as needed for the Services.

12. Liability

FINADORY’s liability is limited to direct and proven damage, and capped at the amount excluding taxes actually paid by the Client for the Service concerned during the 12 months preceding the event giving rise to the claim. FINADORY is not liable for indirect damage, such as loss of revenue, customers or data.

13. Confidentiality and references

Each party keeps confidential the information of the other obtained in connection with the contract, for its duration and 3 years after it ends. Unless the Client refuses in writing, FINADORY may cite its name and logo as a business reference.

14. Personal data

When FINADORY processes personal data on behalf of the Client, it acts as a processor within the meaning of Article 28 GDPR, under a data processing agreement appended to the quote. For its own processing, see the privacy policy.

15. Force majeure

Neither party will be liable for a failure caused by force majeure within the meaning of Article 1218 of the French Civil Code. If the impediment lasts more than 60 days, either party may terminate the contract without compensation.

16. Governing law and jurisdiction

These Terms of use and Terms of sale are governed by French law. In the event of a dispute, the parties will first seek an amicable solution. Failing that, exclusive jurisdiction is granted to the Paris Economic Activities Court (Tribunal des activités économiques de Paris), including in the event of multiple defendants or third-party claims.

FINADORY may change these terms at any time. The Terms of sale applicable to an order are those in force on the date it is accepted.
